1. What this Agreement is
This Agreement is the Brand–Creator campaign contract on ZipXO. Platform Fees, Safe Pay mechanics, liability, and indemnity are in the Terms. Personal Data is in the Privacy Policy.
1.1 Who it binds
This Collaboration Agreement ("this Agreement") is between the Brand and the Creator on a Collaboration. ZipXO, operated by the persons operating the ZipXO Platform pending incorporation, publishes it and is a limited party only for Safe Pay, Platform Fees, and on-platform fund routing. ZipXO is not a party to creative direction, product claims, or the underlying promotional work.
It applies to every Brand and Creator who accepts it at onboarding, and again when they send a ZIP, accept an XO, fund Safe Pay, or view this Agreement at /legal/[zip_id]. Capitalised commercial terms (ZIP, XO, Safe Pay, Brand, Creator, Collaboration) have the meanings in the Terms.
1.2 When it binds you
You accept this Agreement by checking the Collaboration Agreement box at onboarding, sending or accepting a ZIP, funding Safe Pay, or viewing it at /legal/[zip_id]. That is clickwrap. Browsing the public website is not acceptance.
If you do not agree, do not create an account, send a ZIP, or accept an XO.
1.3 Relationship with the Terms and Privacy Policy
If documents conflict, this order applies: (1) the ZIP's commercial terms, but only for price, deadline, brief, Deliverables, and the selected usage-rights level; (2) this Collaboration Agreement for Brand–Creator campaign rules; (3) the Terms for Platform Fees, Safe Pay, ZipXO's limited role, liability, indemnity, and intermediary status; (4) the Privacy Policy for Personal Data.
2. How a Collaboration forms
2.1 ZIP, XO, Safe Pay, dual-sign
- The Brand sends a ZIP (invite) with brief, price, deadline, and usage-rights level.
- The Creator accepts with an XO.
- The Brand funds Safe Pay. Work does not start on funding alone.
- Both parties view this Collaboration Agreement at /legal/[zip_id]. Work starts after both have signed.
Fees, holding, release, refunds, and chargebacks are in the Terms. This Agreement does not create a banking escrow. Safe Pay is processed by Razorpay.
3. Brand duties
3.1 Brief, products, assets, review, pay
- The Campaign Brief must be accurate, lawful, and complete enough for the Creator to deliver.
- Products, services, and claims in the brief must be lawful. The Brand is responsible for product liability and false product claims.
- Brand Assets (logos, product shots, guidelines) must be licensed for the intended use. The Creator may use them only for that Collaboration.
- Review submitted Deliverables in good faith within the stated window. Do not withhold approval to delay payment.
- Pay only through Safe Pay. Off-platform payment for a Platform collaboration is a breach of the Terms.
4. Creator duties
4.1 Deliver, disclose, stay authentic
- Produce Deliverables that match the brief, deadline, and selected usage-rights level.
- Work must be original, or properly licensed. Unlicensed music, footage, or fonts are the Creator's responsibility.
- Every sponsored post must carry a clear advertising disclosure (for example #Ad or the platform's paid-partnership label) in line with ASCI guidelines and Applicable Law.
- No fake followers, purchased engagement, bots, or misrepresented audience metrics.
- Communicate professionally. Harassment, threats, or identity fraud are prohibited.
5. Deliverables, revisions, and timing
5.1 Revisions and grace
Each Deliverable includes 2 free revisions. Further revisions are 2% of the deal value per revision, payable by the Brand, and are added to the deal value held in Safe Pay. After the free revisions, a Brand may reject only for objective non-compliance with the brief, not taste alone.
Deadline grace is 48 hours as stated in the Terms. Force majeure and Brand-caused delay are handled under the Terms. Cancellation, refunds, and fund routing for money disputes are in the Terms — not restated here.
6. Usage rights
6.1 As selected on the ZIP
The Brand receives only the usage-rights level selected on that ZIP, upon final approval:
- Creator Post: the Brand receives confirmation of the Creator's post on the Creator's own profile. The Brand does not receive a downloadable copy or the right to republish.
- Brand Can Use: the Brand may use the video on the Brand's own social media, website, and organic marketing. This does not include paid advertising or unrestricted sublicensing.
- Use It Anywhere: the Brand may use the video in the Brand's own marketing, including paid ads, for the duration of the Collaboration. This does not transfer copyright.
A wider licence needs a separate written grant. Use of a Creator's likeness or voice to train AI models is prohibited unless the Creator has granted an explicit, separate licence for that purpose.
7. Intellectual property between Brand and Creator
7.1 Ownership and licences
The Creator remains the initial owner of newly created Work Product unless a separate written assignment says otherwise. Payment does not transfer copyright. The Brand's licence is the usage-rights level on the ZIP.
Each party keeps pre-existing IP (Brand trademarks; Creator's personal brand and prior portfolio). ZipXO's licence to host and operate the Platform is in the Terms, not a second grant here.
8. Confidentiality
8.1 Unpublished campaign information
Each party must keep the other party's non-public Campaign Brief, unpublished product information, unpublished Deliverables, and negotiated price confidential, except to perform the Collaboration, to comply with law, or to professional advisers under a duty of confidence.
This is not a Privacy Policy. How ZipXO processes Personal Data is only in the Privacy Policy.
9. Matching and AI
9.1 Decision-support only
Rankings, matching, and recommendations are assistive. ZipXO does not guarantee that a Brand will find a Creator, that a Creator will be selected, or that a Campaign will achieve sales, reach, or other results. Users remain responsible for their own commercial decisions. The Terms cover the related disclaimer and the ban on scraping the Platform to train AI.
10. Status, age, and authority
10.1 Independent contractors and 18+
Brands and Creators are independent contractors. Nothing here creates employment, partnership, agency, or joint venture between them, or with ZipXO, except ZipXO's limited role in the Terms.
You must be 18 or older. A person accepting for a Brand warrants they are authorised to bind that organisation. Cancellation, money disputes, liability cap, and indemnity stay in the Terms.
